Welcome to Dayrunner ("Dayrunner", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of the Dayrunner web application, website, and related services (collectively, the "Service"). The Service is the digital day planner for solo field service pros: schedule jobs, document the work with photos and signatures, generate invoices, and collect payments.
By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
1. Accounts & Registration
- You must be at least 18 years old to use the Service.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information when registering and to keep it up to date.
- One account is for one business. Sharing accounts across separate businesses or organizations is not permitted.
2. Free Trial & Subscription
- The Service is offered on a subscription basis of $25/month, flat, with no setup fees and no transaction fees from Dayrunner.
- New accounts receive a 7-day free trial. No credit card is required to start the trial.
- At the end of the trial, you may subscribe by providing a payment method. If you do not subscribe, access to the Service will be limited.
- Subscriptions renew automatically each month until canceled. You may cancel at any time; access continues through the end of the paid period.
- If a payment fails, we will provide a grace period. If the account remains unpaid past the grace period, the account and its data may be permanently removed.
3. Payments & Payment Links
- Payments for your subscription are processed by Stripe. Your payment details are handled by Stripe and never stored on our servers.
- Payment links you generate for your customers are processed through Stripe and are paid directly to your own bank account via your connected Stripe account. Dayrunner does not hold or escrow funds from your customers.
- You are solely responsible for the goods or services you provide to your customers, the prices you set, and any refunds you choose to issue.
- Processing fees charged by Stripe or your bank are your responsibility and are not part of the Dayrunner subscription.
4. Your Content & Acceptable Use
"Your Content" means the client records, job details, photos, signatures, notes, and any other data you enter or upload to the Service.
- You retain ownership of Your Content. You grant us a limited license to store, process, and display it solely to operate the Service.
- You represent that you have the right to use and share the data you upload, including client contact information and any captured images or signatures.
- You must not use the Service to collect data you are not authorized to collect, or to engage in any illegal, fraudulent, or deceptive activity.
- You must not attempt to disrupt, overload, or gain unauthorized access to the Service, its servers, or other users' accounts.
5. Privacy
Your privacy matters to us. How we collect, use, and protect your information is described in our Privacy Policy, which is incorporated into these Terms by reference.
6. Availability & Changes to the Service
- We aim for the Service to be reliable, but it is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.
- You are responsible for backing up data you consider important. We provide export tools where available.
- We may update, modify, or discontinue features of the Service at any time. Material changes will be communicated through the Service.
7. Termination
- You may stop using the Service and delete your account at any time.
- We may suspend or terminate your access if you violate these Terms, if your payment fails and remains unpaid past the grace period, or if we reasonably believe continued access would create legal or security risk.
- Upon termination, your data will be deleted in accordance with our retention practices described in the Privacy Policy.
8. Intellectual Property
The Service, including its software, design, branding, and documentation, is owned by Dayrunner and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service. No rights are granted to you other than the right to use the Service as described in these Terms.
9. Disclaimers & Limitation of Liability
- The Service is provided "as is" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- To the maximum extent permitted by law, Dayrunner shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, data, or goodwill, arising out of or related to your use of the Service.
- Our total liability arising out of or related to these Terms shall not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.
- Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Dayrunner and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your customers.
11. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you through the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the United States and the State of Washington, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in King County, Washington.
